WORK FOR HIRE AGREEMENT

This Work for hire agreement(this “Agreement”) is entered into as of 2026-04-10(the “Effective Date”), by and between Track Or Die, a limited liability company with offices at 100 Studio Way, Suite 200, Example City, USA 00000 (“Label”), and Demo Co-Producer, with a principal address at 88 Crescent Avenue, Apt 3B, Brooklyn, New York 11225(“Counterparty”, and together with Label, the “Parties”).
WHEREAS, Label is engaged in the business of producing, distributing, and exploiting sound recordings and owns or controls rights in the musical work entitled “Synthetic Session Wire” as performed by Demo Artist A;
WHEREAS, Counterparty possesses the skills and experience relevant to the services contemplated by this Agreement and desires to render such services to Label on the terms set out below; and
WHEREAS, the Parties wish to record their entire understanding with respect to the subject matter hereof;
NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
1. WORK MADE FOR HIRE.
All results and proceeds of the services rendered hereunder shall constitute a work made for hire for the commissioning party within the meaning of the United States Copyright Act, owned by the commissioning party from the moment of creation. To the extent any such results are held not to constitute a work made for hire, Counterparty hereby irrevocably assigns all right, title, and interest therein to the commissioning party.
2. FEE.
The fee stated in Schedule A is a one-time, all-in payment due upon full execution of this Agreement, allocated equally between the master and publishing sides. Payment shall be made without deduction or set-off, and no additional sums shall become payable by reason of the volume or frequency of exhibition within the scope licensed.
3. WARRANTIES.
Counterparty warrants that its contribution is original, contains no uncleared samples or interpolations, and is free of any third-party claim, lien, or encumbrance. Counterparty shall indemnify and hold harmless the commissioning party against any loss arising from a breach of the foregoing warranties.
4. CREDIT.
Label shall accord Counterparty credit in the customary form on liner notes and in all digital service provider credit fields, wherever credits of a similar nature are customarily given. No casual or inadvertent failure to accord such credit shall constitute a breach, provided the failure is cured on a prospective basis promptly following written notice.
5. MORAL RIGHTS.
Counterparty waives all moral rights and rights of a similar nature in the results and proceeds of its services, to the fullest extent such waiver is permitted under the governing law, including in territories whose law resists such waiver. Where waiver is not permitted, Counterparty agrees not to assert such rights against the commissioning party or its licensees.
6. TERRITORY; GOVERNING LAW.
The territory of this Agreement is World. This Agreement shall be governed by and construed in accordance with the laws of Tennessee, without regard to its conflict-of-laws principles.
SCHEDULE A — SPLITS
No splits have been recorded against the underlying work.
The aggregate deal value under this Agreement is $1,200.00. No advance is payable under this Agreement.
IN WITNESS WHEREOF, the Parties have executed this Agreement as of the Effective Date, each signatory below warranting that they are duly authorized to bind the Party on whose behalf they sign.
